TERMS & CONDITIONS

Welcome to Galad ("Company," "we," "our," or "us"). These Terms & Conditions ("Terms") govern your access to and use of the Galad platform, website, mobile applications, and all related services (collectively, the "Service").

By accessing or using Galad, you agree to be bound by these Terms. If you do not agree, you must immediately discontinue use of the Service.

Note: Galad is currently operating as an unincorporated business under the trade name "Galad." Governing law and entity information will be updated upon formal incorporation. Users will be notified of any material changes.

1. Eligibility

You must meet all of the following conditions to use the Service:

  • Be at least 18 years of age.
  • Have the legal capacity to enter into a binding contract under applicable law.
  • Not be prohibited from using the Service under the laws of your jurisdiction.
  • Agree to provide accurate, current, and complete information during registration.

By using the Service, you represent and warrant that you meet all of the above conditions.

2. Description of the Service

Galad is an AI-powered social media management platform that helps individuals and businesses generate, design, schedule, and publish social media content automatically, based on user-provided brand information and preferences.

The Service currently supports publishing to Facebook and Instagram, with additional platforms to be added over time. Feature availability may vary by subscription plan.

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time, with or without notice, subject to Section 15 (Changes to These Terms).

3. Account Registration

To access the full Service, you must create an account. You agree to:

  • Provide accurate, complete, and current registration information.
  • Maintain and promptly update your account information as needed.
  • Keep your login credentials confidential and not share them with any third party.
  • Accept full responsibility for all activity occurring under your account.
  • Notify us immediately at admin@galad.ai if you suspect unauthorized access to your account.

We reserve the right to suspend or terminate accounts in cases of misuse, fraud, inactivity exceeding 12 months, or violation of these Terms.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in a manner consistent with these Terms. You agree NOT to:

  • Use the Service for unlawful, harmful, abusive, defamatory, or deceptive purposes.
  • Generate, publish, or distribute content that violates third-party intellectual property rights, privacy rights, or applicable law.
  • Attempt to reverse-engineer, decompile, extract, or replicate the underlying AI models, algorithms, source code, or proprietary systems.
  • Interfere with, disrupt, or compromise the integrity or performance of the Service or its infrastructure.
  • Upload or transmit malware, viruses, or any malicious code.
  • Use automated means (bots, scrapers, crawlers) to access the Service without prior written consent.
  • Circumvent or attempt to bypass any security or authentication mechanism.
  • Resell or sublicense access to the Service without prior written authorization from Galad.

We reserve the right to remove content, restrict features, suspend, or permanently terminate accounts that violate these restrictions, at our sole discretion.

5. User Content

5.1 Ownership

You retain full ownership of all content, brand assets, data, and materials you upload, submit, or otherwise provide to Galad ("User Content"). Galad does not claim ownership over your brand assets, logos, or published social media content.

5.2 License Grant

By using the Service, you grant Galad a limited, non-exclusive, worldwide, royalty-free license to access, process, and use your User Content solely for the following purposes:

  • Generating AI-powered content outputs on your behalf.
  • Operating, maintaining, and improving the Service.
  • Diagnosing technical issues and ensuring platform security.

This license terminates when you delete your User Content or close your account, subject to backup and legal retention obligations.

5.3 No AI Training

Galad does NOT use your User Content to train, fine-tune, or improve any AI or machine learning model, whether proprietary or third-party. Your business data and brand assets are used exclusively to generate content on your behalf.

5.4 Your Responsibilities

You represent and warrant that:

  • You have all rights, licenses, and permissions necessary to provide your User Content to Galad.
  • Your User Content does not violate any third-party intellectual property, privacy, or other legal rights.
  • Your User Content complies with all applicable laws and regulations.

6. AI-Generated Content

Galad uses artificial intelligence to generate social media content based on your inputs. You acknowledge and agree that:

  • AI-generated content may occasionally be inaccurate, incomplete, or not fully representative of your brand.
  • You are solely responsible for reviewing and approving all AI-generated content before it is published or shared.
  • For content scheduled for auto-publishing, you explicitly authorize Galad to publish on your behalf and accept full responsibility for any published content that has been approved or scheduled by you.
  • Galad makes no guarantees regarding the accuracy, originality, fitness for purpose, or legal compliance of AI-generated content.
  • You should not publish AI-generated content that has not been reviewed by a qualified professional where required (e.g., medical, legal, or financial content).

Galad strongly recommends reviewing all generated content before publishing, particularly for regulated industries.

7. Third-Party Integrations & Social Media Credentials

7.1 Platform Integrations

Galad integrates with third-party platforms, including but not limited to Facebook and Instagram (operated by Meta Platforms, Inc.). Your use of these integrations is subject to the terms, policies, and data practices of the respective platforms.

Galad is not responsible for any failures, limitations, changes in access, or policy changes imposed by third-party platforms.

7.2 Social Media Credentials & OAuth Tokens

To enable automated publishing, Galad stores and uses OAuth access tokens and related credentials authorized by you through the respective platform's official authorization flow. By connecting your social accounts, you acknowledge that:

  • Galad securely stores your authorization tokens using industry-standard encryption.
  • These tokens are used exclusively to publish content on your behalf as instructed by you.
  • You may revoke Galad's access to your social accounts at any time through the platform's settings or through your Galad account dashboard.
  • Stored credentials are deleted within 30 days of account termination or disconnection of the relevant social account.
  • Galad does not store your social media passwords.

7.3 Third-Party Failures

Galad is not liable for failed publications, content errors, or data loss caused by third-party platform outages, API changes, or access restrictions beyond our control.

8. Payment, Billing & Refunds

8.1 Subscription Plans

Galad offers paid subscription plans billed monthly or annually, as selected at the time of purchase. All prices are displayed in USD unless otherwise indicated. Prices may be subject to applicable taxes.

8.2 Billing

By subscribing, you authorize Galad to charge your selected payment method on a recurring basis according to your plan. Payments are processed through Stripe. Your billing information is subject to Stripe's privacy and security policies.

8.3 Refund Policy

All payments are generally final and non-refundable, except as follows:

  • Where required by applicable law (including Mexican consumer protection laws and applicable U.S. state regulations).
  • In cases of documented technical failure caused directly by Galad that prevented material use of the Service for more than 72 consecutive hours within a billing period.
  • Refund requests must be submitted to admin@galad.ai within 14 days of the charge in question.

We reserve the right to grant discretionary refunds or credits at our sole judgment.

8.4 Price Changes

We may change subscription prices at any time. If your plan price changes, we will notify you at least 14 days in advance via email. Your continued use after the effective date constitutes acceptance of the new price.

8.5 Failed Payments

Failure to pay subscription fees may result in suspension or termination of your account after a 5-day grace period following the failed payment date.

9. Intellectual Property

9.1 Galad's IP

All intellectual property rights in and to the Service, including the platform, AI systems, software, design, branding, trademarks, and documentation, are and remain the exclusive property of Galad. Nothing in these Terms grants you any right to use Galad's name, logo, or trademarks without prior written consent.

9.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Galad a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without obligation or compensation to you.

9.3 DMCA / Copyright Complaints

If you believe content on the platform infringes your copyright, please contact us at admin@galad.ai with a detailed description of the alleged infringement. We will respond promptly and take appropriate action.

10. Privacy & Data Protection

Your use of the Service is also governed by Galad's Privacy Policy, available at galad.ai/privacy-policy, which is incorporated into these Terms by reference.

By using the Service, you confirm that you have read and understood our Privacy Policy. Key commitments include:

  • We do not sell your personal data to third parties.
  • We do not use your User Content to train AI models.
  • We implement industry-standard security measures to protect your data.
  • You may request deletion of your personal data at any time by contacting admin@galad.ai.

Users in Mexico are protected under the Ley Federal de Protección de Datos Personales en Posesión de los Particulares (LFPDPPP). Users in California, USA, have additional rights under the California Consumer Privacy Act (CCPA). We honor these rights regardless of where you access the Service from.

11. Service Availability & Uptime

Galad strives to maintain continuous, reliable access to the Service. However, the Service may occasionally be unavailable due to:

  • Scheduled maintenance (we will provide advance notice where possible).
  • Unplanned outages, server failures, or technical incidents.
  • Third-party service disruptions (e.g., cloud infrastructure, social platform APIs).
  • Force majeure events beyond our reasonable control.

We are not liable for any interruptions, downtime, or data loss resulting from such events. Galad does not guarantee any specific uptime percentage at this time.

12. Termination

12.1 Termination by Galad

We may suspend or terminate your account if you:

  • Violate any provision of these Terms.
  • Misuse the Service or engage in fraudulent activity.
  • Fail to pay subscription fees after the grace period in Section 8.5.

Except in cases of serious violations (including fraud, illegal activity, or significant harm to other users), we will provide at least 7 business days' notice before terminating your account.

12.2 Termination by You

You may cancel your subscription at any time through your account settings or by contacting admin@galad.ai. Cancellation takes effect at the end of your current billing period. No partial refunds are issued for unused time, except as described in Section 8.3.

12.3 Effect of Termination

Upon termination, your access to the platform will cease. We will retain your data for up to 30 days following termination, after which it will be permanently deleted, unless retention is required by law.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose.
  • Guarantees that the Service will be uninterrupted, error-free, or secure.
  • Guarantees regarding the accuracy, completeness, or reliability of AI-generated content.
  • Warranties that the Service will meet your specific business requirements.

To the maximum extent permitted by applicable law, Galad expressly disclaims all such warranties.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Galad shall not be liable for:

  • Indirect, incidental, special, punitive, or consequential damages.
  • Loss of profits, revenue, data, business opportunity, or goodwill.
  • Damages arising from your reliance on AI-generated content.
  • Damages resulting from third-party platform failures or actions.

In no event shall Galad's total aggregate liability to you exceed the total amount paid by you to Galad in the 12 months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, our liability will be limited to the fullest extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Galad and its officers, directors, employees, contractors, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of or access to the Service.
  • Your User Content.
  • Your violation of these Terms.
  • Your violation of any third-party rights, including intellectual property or privacy rights.
  • Content published through your account, whether or not authorized by you.

16. Governing Law & Dispute Resolution

These Terms are currently governed by general principles of commercial contract law. Upon Galad's formal incorporation, governing law will be updated to reflect the jurisdiction of incorporation.

In the event of any dispute arising from these Terms or your use of the Service, you agree to first contact us at admin@galad.ai to attempt informal resolution. We will make good-faith efforts to resolve any dispute within 30 days.

Note: Formal dispute resolution provisions, including arbitration clauses, will be added upon incorporation. Users will be notified of any such changes with at least 30 days' advance notice.

17. Changes to These Terms

We may update these Terms at any time. When we do:

  • We will post the updated Terms at galad.ai/terms with a new 'Last Updated' date.
  • For material changes, we will notify registered users via email at least 14 days before the changes take effect.
  • Your continued use of the Service after the effective date of changes constitutes your acceptance of the updated Terms.

If you do not agree with any updated Terms, you must stop using the Service and may request account cancellation before the effective date.

18. Miscellaneous

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Galad regarding the Service and supersede any prior agreements.

18.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

18.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to a successor entity in connection with a merger, acquisition, or sale of assets.

18.5 Language

These Terms are provided in English. In the event of any conflict between the English version and any translation, the English version shall prevail.
